Najib Is A Liar
The Deputy Prime Minister did not tell you the truth when he spoke of the proposed mega plantation merger.
On Thursday, Najib said:
Deputy Prime Minister Datuk Seri Najib Razak said the Government supports the initiative taken by parent PNB, aimed at rationalising and consolidating the three plantation groups under one roof."This is PNB's initiative. I believe they want to rationalise the companies within the group and they have decided plantation companies should be consolidated into one roof. This is one of the processes towards that.
"We support the move decided by the trustees of PNB, of which I am one of the members. This is the position that we (the Government) have taken," he told reporters after opening the Malaysian Capital Market Summit in Kuala Lumpur yesterday. [Business Times]
"This is PNB's initiative". Really, Datuk Seri? I mean, no shit?
Then what about this?
Permodalan Nasional Bhd (PNB) has yet to see a proposal to merge three of its plantations companies, its chief executive officer Tan Sri Hamad Kama Piah Che Othman said.... Shares of the three companies and their subsidiaries were suspended on Thursday morning. The companies said they were considering an approach by an outside vehicle, Synergy Drive Sdn Bhd, about a change in business direction.
Synergy Drive is "not our company", Hamad Kama Piah said.
... "We have to see what is the result ultimately because we want to make sure the exercise is beneficial to PNB ... otherwise, how is PNB going to support all this?"
"We want to make sure the resultant position is creating value for PNB," he emphasised. [Business Times]
Does that sound like PNB initiated the move to you?
Najib said, "We support the move decided by the trustees of PNB, of which I am one of the members."
Here are the board of trustees. They comprise Pak Lah, Najib, the Fat Lady, PNB chairman Ahmad Sarji and PNB director Geh Ik Cheong.
This move was initiated behind the backs of not only the PNB CEO, but also the CEOs of all the other companies who will have to bow before Synergy Drive Sdn Bhd, which the PNB CEO said is "not our company".
So why all the cloak and dagger stuff?
Where is the transparency, since this is in the public interest?
Why lie?
What the fuck is going on here?
AND another thing: The companies to be merged do more than just oil palm plantations. Sime Darby, for example, has a broad range of businesses.
What the fuck is gonna happen to them?
I already see the cronies salivating.

It's the standard modus operandi of those in power: Set up a shell company with very limited paid up capital, then make an outrageous proposal to buy three listed giants, and issue shares of this shell company to pay for the purchase. Of course the banks and the EPF will be roped in to support the purchase with subtantial amounts of debt. Upon the merger of the 3 giants, the owners of the shell company will hive off the non-plantations businesses and use the proceeds to pay off the debt.
Sime Darby is the odd-one out. It is much more diversified and has subtantial businesses overseas (Thailand, HK, Singapore, Indonesia, China) which are worth a lot. Obviously the sum of the parts are bigger than the whole, and the beneficiary of any merger and subsequent break-up must be PNB, and not the shell company.
If AAB is not careful, this transaction could signal the death knell for the KLSE and whatever dwindling FDI that might be destined for Bolehland.

Guess no one is reading from the same page... Probably boils down to a possible breakdown in trust between the politicos and PNB management.
The fact of the matter is that this idea has been percolating for some years now but PNB did not make a move to realise it.
So the cabinet decides to act on it, using a GLC bank to push it, so Synergy Drive lah!
Heck, maybe I should expound on it but aiseh, man - you beat me to it!

Salivating is not quite right, Aiseh. Its more like a gush of drooling ever since these joker found out that the only thing that can stop them in their greedy tracks is a full blooded coup, which is NEVER going to happen. Only the Umno members can oust them, and that too will NEVER happen as most of them are also salivating, drooling and doing their hand thing.
Read RPK RM600m to div post? If that can happen, what more something like this? I smell something fishy and its not the drool.

The three companies once British and now Malaysian are doing very well indeed. Why the need to merged it into one company. This is truly a recipe for disaster. The three CEO's are all going a find jobs, creating jobs and boosting the economy both in the country and overseas. I hope the authority would see that the merge do not happen. Leave it as they are.

This thing has all the hallmark of smart cronies at a work. Frankly its a real step up from the old ways so my guess is the its those new generation UMNOputras (i.e. the Tingkat 4, ECM libra, types). Its very slick, looks good on paper and seem to be harmless. But there is a giveaway: It does not do anything for anyone else..
Synergy? From what is seen of the numbers, its not going to much at best. For the industry, it narrow down the number of bumiputera leaders in this industry down to a few people. Is that a good idea if you want to promote more bumiputera managers and entreprenuers? What are they going to do next? Complain the Chinese have more companies than the bumiputera in this sector?
All they may be creating is a big lumbering complacent bumiputera giant that becomes less competitive with the other players in the region.
This is the neuvo UMNOputra ways...

All this reminds me of the earlier formation on MMC - the world's largest tin mining company initiated by the M'sian govt in the early 90s.
What happens to MMC now? Its a company that longer has much muscle in TIN operation! Surprise ? NO, NOOOOO!
Will this larges oil palm company going the same track as MMC's past jogging? I bet 10 ringgit that it will.
This country seems to have a habit of running down good & profitable companies to the ground in whatever means & manners.
Sad & saddest still that the people who are suppose to benefit remain in the quire & still willing for the durians to fall, while the prepetrators are laughing to wherever whithout the sights of any care for these kampng folks, knowing very well that the open global competitions will eventually drive them to despires.

we all MUST make A LOT of noise on this, even though in the end the deal WILL STILL go thru.
otherwise, we'll next read about 'synergy rocks sdn bhd' taking over TNB + TM + Petronas to create the country's mega giant mammoth power-energy-communication co, to be owned by the cronies again. they've become so greedy + shamless, THEY WON'T STOP.
so, were people right to REJECT those equity calculations which grouped GLC as primarily/wholly held 'FOR bumi'?????

This merger is a good way to kill off one the best run and profitable Bumi/Malay/GLC companies (Sime Darby)....

These 3 companies are established and considered well-run. What makes the government think that a hastily formed company with unknown ownership and details shrouded in secrecy can run them better as a single entity? This opaque process is definitely giving everyone the shivers!
